GUESTBOOK.LIVE TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of Guestbook.live (the “Service”), operated by SignalFlo, LLC.

By accessing or using the Service, you agree to these Terms.

1. Description of Service

Guestbook.live is a digital visitor management and communication platform designed for healthcare facilities and other participating organizations.

The Service facilitates visitor check-in, communication, and feedback collection.

2. Facility Responsibilities

Participating facilities are solely responsible for:

Obtaining all required visitor consents
Complying with federal, state, and local laws
Ensuring communications comply with applicable regulations
Managing their internal compliance obligations

SignalFlo, LLC does not control how facilities use the data collected through the Service.

3. Visitor Acknowledgment

Visitors understand that:

Providing information is voluntary
Communications may follow their visit
They may opt out at any time

4. Acceptable Use

Users agree not to:

Use the Service for unlawful purposes
Interfere with platform security
Submit false information
Reverse engineer or misuse the system

5. Intellectual Property

All intellectual property related to Guestbook.live is owned by SignalFlo, LLC or its licensors.

No rights are granted except as expressly stated.

6. Indemnification

Facilities agree to defend, indemnify, and hold harmless SignalFlo, LLC, its officers, members, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

The facility’s use of the Service
Failure to obtain proper consent
Regulatory violations
Communications sent through the platform
Misuse of collected information

This indemnification obligation survives termination of the Service.

7. Limitation of Liability

To the fullest extent permitted by law:

SignalFlo, LLC shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Total liability shall not exceed the amount paid by the facility in the preceding twelve (12) months.

The Service is provided “as is” without warranties of any kind.

8. Arbitration and Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted in the State of Colorado under the rules of the American Arbitration Association.

The parties waive any right to a jury trial.

Class actions are not permitted.

Each party shall bear its own costs unless otherwise determined by the arbitrator.

9. Modifications

SignalFlo, LLC may modify these Terms at any time. Continued use constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the State of Colorado.
